1. ACCEPTANCE OF TERMS

Welcome to LifeLegacy.me ("Platform," "Service," "we," "us," or "our"), a secure digital estate planning platform operated by LifeLegacy.me, a Delaware corporation. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you and LifeLegacy.me.

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

2. DEFINITIONS

"Professional" means licensed Insurance Agents, Financial Planners, Attorneys, or other credentialed service providers who subscribe to the Platform to offer digital estate planning services to their Clients.

"Client" means an individual who has engaged a Professional's services and has been granted access to the Platform to store and manage their digital estate planning materials.

"Trusted Contact" means an individual designated by a Client to access specific digital files and information upon the Client's incapacitation or death.

"Digital Assets" means all files, documents, credentials, and information uploaded to or stored on the Platform by Clients.

"Incapacitation" means a physical or mental condition in which a Client is unable to manage their own affairs, as may be verified through medical documentation, legal declaration, or other verification processes established by the Platform.

"Account" means the registered user profile created on the Platform.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirement

You must be at least 18 years of age to use this Platform. By using the Service, you represent and warrant that you meet this age requirement.

3.2 Account Types

Professionals:

Must maintain an active, paid subscription to provide Platform access to Clients. Professionals are solely responsible for:

Maintaining their own professional licensing and credentials with applicable regulatory bodies
Ensuring compliance with all professional standards and regulations governing their practice
The accuracy of information provided during registration
All subscription fees and payment obligations

Clients:

Receive Platform access through their Professional. Clients are responsible for:

Providing accurate personal and contact information
Designating Trusted Contacts
Managing and organizing their Digital Assets
Maintaining the confidentiality of their login credentials

Trusted Contacts:

Are designated by Clients and granted limited access to specific Digital Assets. Trusted Contacts are responsible for:

Providing accurate contact information
Activating access only upon legitimate incapacitation or death of the Client
Maintaining confidentiality of all accessed information
Using accessed information only for its intended estate planning purposes

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Create a strong, unique password
Not share your account credentials with any third party
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities conducted through your account

3.4 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.

4. PROFESSIONAL VERIFICATION AND LICENSING

4.1 No Credential Verification

LifeLegacy.me does NOT verify, vet, or validate the credentials, licenses, or qualifications of Professionals who register for the Platform. Professionals represent and warrant that they:

Hold all necessary licenses, certifications, and qualifications required to practice in their jurisdiction
Are in good standing with all applicable regulatory bodies
Comply with all professional standards, codes of ethics, and regulations
Will immediately notify us if their professional status changes

4.2 Professional Responsibility

Professionals acknowledge that they are solely responsible for:

Their professional conduct and client relationships
Compliance with all applicable laws, regulations, and professional standards
Any advice, recommendations, or services they provide to Clients
Ensuring their use of the Platform complies with their professional obligations

5. SUBSCRIPTION AND PAYMENT TERMS

5.1 Professional Subscriptions

The Platform operates on a subscription-based model. Professionals must maintain an active paid subscription to:

Access the Platform's features
Provide Platform access to their Clients
Continue utilizing all Platform services

5.2 Subscription Fees

Subscription fees are charged monthly in advance
Fees are subject to change with 30 days' notice
All fees are non-refundable except as required by law or as expressly stated in these Terms
Professionals are responsible for all applicable taxes

6. PLATFORM SERVICES AND FUNCTIONALITY

6.1 Service Description

LifeLegacy.me provides a secure digital platform that enables:

Professionals to offer digital estate planning services to their Clients
Clients to store, organize, and manage Digital Assets
Clients to designate Trusted Contacts for post-incapacitation or posthumous access
Trusted Contacts to access designated Digital Assets upon appropriate triggering events

6.2 Professional Access Limitations

IMPORTANT:

Professionals do NOT have access to Client Digital Assets at any time. The Professional's role is limited to:

Providing Platform access to Clients
Managing their subscription
Viewing their Client roster (names and contact information only)
Accessing general platform analytics related to their account

7. SECURITY MEASURES

7.1 Security Infrastructure

LifeLegacy.me implements industry-leading security measures to protect your data, including:

AES-256 Encryption: All Digital Assets are encrypted at rest using Advanced Encryption Standard (AES) 256-bit encryption
SSL Protection: All data transmission is protected by Secure Socket Layer (SSL) encryption
HIPAA-Level Security Standards: Security controls that meet or exceed HIPAA technical safeguard requirements
Multi-factor authentication options
Regular security audits and penetration testing

8. PROHIBITED USES AND CONDUCT

8.1 General Prohibitions

You agree NOT to use the Platform to:

Violate any applicable laws, regulations, or these Terms
Infringe upon intellectual property rights of others
Upload malicious code, viruses, or harmful software
Attempt to gain unauthorized access to any part of the Platform
Interfere with or disrupt the Platform's operation
Impersonate any person or entity
Harass, threaten, or harm others

9. DISCLAIMERS AND WARRANTIES

9.1 Service Provided "AS IS"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 No Professional Advice

LifeLegacy.me is a technology platform only. We do not provide legal advice, financial planning advice, insurance advice, estate planning advice, or any professional services of any kind.

10. LIMITATION OF LIABILITY

10.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIFELEGACY.ME, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, LOSS OF DATA OR DIGITAL ASSETS, OR ANY OTHER INTANGIBLE LOSSES.

10.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF THE TOTAL AMOUNT PAID BY YOU TO LIFELEGACY.ME IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD.

11. DISPUTE RESOLUTION

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11.2 Arbitration Agreement

If informal resolution is unsuccessful, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

12. TERMINATION

12.1 Termination by You

Professionals: May cancel their subscription at any time through account settings
Clients: May delete their account and all data at any time through account settings
Trusted Contacts: May request removal of their designation through the Platform

12.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent or illegal activity, fail to pay applicable fees, or if your conduct poses a security or legal risk.

13. MODIFICATIONS TO TERMS

13.1 Right to Modify

We reserve the right to modify these Terms at any time. When we make material changes, we will post the updated Terms on the Platform with a new "Last Updated" date and notify you via email at your registered email address.

13.2 Acceptance of Modified Terms

Your continued use of the Platform after modified Terms take effect constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Platform.
